End-User License Agreement

This End-User License Agreement (“EULA”) governs your use of Echinos™ software, including the echinos.co and echinos.app websites and related printable designs. Our Privacy Policy explains how we collect, use, and protect personal information. By subscribing to or using Echinos software or its related printable designs, you agree to this EULA. If you do not agree, you must not subscribe to or use Echinos software or its related printable designs.

Distribution

You must not distribute anything we’ve made for the purpose of financial gain. This means you must not sell, resell, sublicense, or otherwise commercially distribute Echinos software or related printable designs, the Echinos logo, or other Echinos assets except with our written permission.

Ownership of Echinos software and related printables

Although we give you permission to use Echinos software and its related printable designs, we (Notewares LLC) remain the owners of the software and print designs. We are also the owners of our brands and any content contained in the software or the echinos.co and echinos.app websites. When you subscribe to Echinos, you are purchasing a license to access and use our hosted software and related digital printable designs in accordance with this EULA—you are not purchasing ownership of the software or printable designs themselves. The only permissions you have in connection with Echinos are the permissions set out in this EULA.

Usage

Echinos is a customer-initiated feedback and communication software platform. Customers voluntarily scan a business's QR code and choose whether to send a private message directly to that business.

You must not use Echinos to generate, purchase, solicit, post, remove, suppress, filter, gate, or otherwise manipulate online reviews, ratings, likes, views, clicks, or other public engagement.

You must not use Echinos to selectively direct customers to public review platforms based on whether their experience or feedback is positive or negative.

Echinos does not provide businesses with tools to send bulk messages to customers.

You must not use Echinos to send advertising, promotional messages, or unsolicited marketing communications. This restriction does not prevent a business from responding to customer feedback or offering an appropriate remedy in response to a customer service issue.

You must not use Echinos to contact other businesses while signed in as a business owner. If you wish to provide feedback to another business as a customer, you may do so using a customer account.

Storage of customer contact information

When customers submit feedback using Stealth Mode, Echinos does not associate their messages with a customer account, and you cannot reply to such feedback through Echinos.

When customers choose to interact with you using Kinda Brave Mode, you can communicate with them through Echinos for at least one year, provided neither party has deleted the conversation. If either party deletes a conversation, neither party can send additional messages through it. However, the party that did not delete the conversation may continue to read it for at least one year. After one year, conversations may be permanently deleted from our systems.

Registration, Account and Password

The details you give us as part of the registration must be correct. You can change your registration details if they become out of date. If you deliberately tell us something that you know isn’t true, and we end up in trouble or we lose money, we may hold you responsible. That means that you may have to compensate us for the damage you cause and what we have lost. You might need to register with us to access all parts of our Website. Your username and password are private, and you must take reasonable steps to keep them secure. You must not share your password with anyone else. If someone accesses your account because you shared your password or failed to take reasonable steps to protect it, we may hold you responsible for any resulting misuse of our Website. You should change your password immediately if you believe someone else knows it. We are not responsible for harm caused by someone using your account without your permission, except where the law requires otherwise or the unauthorized access resulted from our own actions or failures.

Each physical address that Echinos is used at to obtain customer feedback requires a separate Echinos account. In other words, if you have multiple physical business locations you wish to use Echinos at, you must create and use a separate Echinos account at each physical business location.

Conversation and message size limits

Echinos business accounts are limited to an Inbox size of 200 conversations which can (of course) individually be deleted to make room for more conversations. Each Stealth Mode conversation is limited to 1 feedback message from the customer to the business, and these messages are capped at 2000 characters in length. Each Kinda Brave conversation is limited to 20 total messages between a given customer and the business, and these messages are capped at 2000 characters in length.

Content

Echinos provides digital, ready-to-print display designs, including designs intended for tabletop displays, window stickers, business cards, and similar uses. Echinos does not sell or ship physical printed products. If you create or print materials related to Echinos, or create content using Echinos software, those materials and content must not be illegal and must be honest. The types of things you must not make available using our software include:

You must not make any content available using Echinos software that infringes the rights of anyone else.

If you print, display, or set out any printable designs related to Echinos (including tabletop displays, window stickers, business cards, or the like), they must be printed in the original colors and unaltered in any fashion (excepting re-sizing the entire prints) without written permission from us. We are pretty open and flexible to design changes, but you do need to get our approval to use them.

Liability

Echinos software and related digital printable designs are provided “as is.” Updates and upgrades are also provided “as is.” This means that we are not making any promises to you about the standard or quality of our software, printable designs, or services, or that our software will be uninterrupted or error-free or for any loss or damage that they cause. We only promise to provide the software and any related digital printable designs and services with reasonable skill and care.

We are not responsible for any actions of you or anyone else who uses Echinos.

Returns, Refunds, and Cancellation

Your subscription begins immediately after your payment has been successfully processed.

Because customers may need time to print and place their QR displays, all new Echinos accounts receive a one-time additional 14-day access credit. For example, when a new business purchases 30 days of service, it receives 44 days of access, allowing it to begin receiving feedback as soon as its displays are ready. This additional access credit does not delay or change the subscription's regular billing schedule. If a customer cancels their subscription, any remaining additional access credit will still be honored.

You may cancel your subscription at any time. Cancellation prevents future renewal charges, and your subscription remains active until the end of the current paid billing period, plus any remaining additional access credit.

When your subscription and any remaining additional access credit expire, your Echinos QR codes will stop accepting customer feedback, and you will lose access to your Echinos business account. If you resubscribe, access to your account and any retained messages will be restored.

Purchases processed by our Merchant of Record are subject to the Merchant of Record's applicable buyer terms, refund procedures, and rights, including any refunds it may issue in accordance with those terms or applicable law.

In addition, Echinos offers a full refund of the initial subscription payment when requested within 30 days of the original purchase date. Outside of any refund rights provided by the Merchant of Record or applicable law, subsequent subscription payments are generally nonrefundable. We may approve refunds in circumstances such as accidental duplicate purchases, unauthorized or fraudulent charges, or technical issues that prevented reasonable use of the service.

Privacy

Our collection, use, storage, sharing, and protection of personal information is described in our Privacy Policy. The Privacy Policy also explains how Echinos handles business account information, customer accounts, customer feedback and messages, cookies, service providers, data retention, and privacy-related requests.

Storage and security of your data

The transmission and storage of data electronically cannot be guaranteed to be completely secure. We use reasonable administrative, technical, and organizational measures designed to protect your personal data. However, no security measures can eliminate all risks, and we cannot guarantee that your personal data will always be secure or protected from unauthorized access.

Suspension and Termination

We may suspend or terminate your access to Echinos if you violate this EULA, misuse our software, or engage in activity that threatens the security or operation of our services or the rights of others. When reasonably possible, we will notify you and provide an opportunity to resolve the issue before suspending or terminating your access. However, we may take immediate action when necessary to protect Echinos, its users, or others. Suspension or termination for violating this EULA does not automatically entitle you to a refund, except where required by applicable law or the Merchant of Record's terms.

General stuff

The EULA is subject to any legal rights you might have. Nothing in these terms and conditions will limit any of your rights that may not be excluded under law nor shall it exclude or limit our liability for death or personal injury resulting from our negligence nor any fraudulent representation. We may also change this EULA from time to time, but those changes will only be effective to the extent that they can legally apply.

If you send us suggestions or ideas about Echinos or our services, you agree that we may use them without compensating you. If you expect to be paid for a suggestion or idea, you must obtain a written agreement signed by us before sharing it.

You aren’t allowed to hack, decompile, or change our Website at all and you mustn’t do so. This includes the code or any content or data. Basically, you should just leave it as it is. You also aren’t allowed to create any software or content that mimics our Website.
